Our approach covers the full life cycle of these projects, from structuring the investments through to managing the exit, including negotiating the terms of financial arrangements and setting up incentive mechanisms for managers and investors.

We bring in-depth expertise to secure and optimise the structuring of financial arrangements, particularly for leveraged transactions (LBOs), which require close attention on the legal, tax and financial fronts alike. We advise investment funds and investors on choosing suitable structures and on the tax optimisation of investments, drawing on market best practice and the specific objectives of each transaction.

We bring a keen understanding of the operational and financial issues at stake in private equity arrangements, ensuring that the interests of managers, investors and other stakeholders are properly aligned while meeting legal requirements and profitability objectives.

Our areas of practice include:

• Structuring of investment funds: setting up investment funds while optimising the legal and tax structure of the investment vehicles, in particular for private equity funds, infrastructure funds and real estate funds;
• Fundraising and negotiation: assisting investors and project sponsors with fundraising, negotiating the terms of agreements and structuring investments so as to maximise returns and minimise risk;
• LBO / MBI / MBO transactions: advising on the structuring of Leveraged Buy-Outs (LBOs), Management Buy-Ins (MBIs) and Management Buy-Outs (MBOs), guiding stakeholders on the terms and structure of the transactions, and optimising the financial and tax instruments involved (loans, guarantees, etc.);
• Management participation and incentive instruments: designing remuneration and incentive mechanisms for managers and investors, including stock options, BSPCE warrants, free shares and other retention arrangements.
