Capital Markets

The firm advises issuers, investors, financial institutions and management companies on their transactions on regulated markets, multilateral trading facilities and financing platforms. We act on securities transactions - initial public offerings, public offers, squeeze-outs or public tender offers - as well as on compliance with disclosure and governance obligations (publication of inside information, periodic disclosures, financial communications, transactions by managers).

The firm also assists clients in structuring and implementing bond issues, whether carried out by way of a public offer or a private placement, advising on the legal, regulatory and contractual aspects of these transactions.

Our areas of practice cover the full legal and regulatory spectrum of capital markets:

  • Transactions on regulated markets and MTFs: IPOs, public tender or squeeze-out offers, securities issuances, listing, financial communications and issuer obligations;
  • Bond issues and market financing: structuring, drafting of contractual documentation, private placement, listing and investor communications;
  • Financial regulation and compliance: assistance implementing obligations under MAR, MiFID II, the Prospectus Regulation, SFDR, EMIR and DORA, as well as governance and market risk management policies;
  • Financial contracts and instruments: negotiation of master agreements (ISDA, FBF, CMOF), structuring of derivative products and legal protection of transactions in financial instruments;
  • Relations with market authorities and litigation: assistance during AMF, ACPR or other regulatory inspections and investigations, management of disciplinary proceedings and disputes relating to market transactions.
